In a pivotal moment for the spirits industry, Uncle Nearest Premium Whiskey, a brand celebrated for its dedication to honoring the legacy of Nathan “Nearest” Green, has reportedly signed a non-binding letter of intent for a potential sale of its assets. The prospective buyer is an investment firm characterized by African-American ownership and leadership, signaling a significant development within the realm of Black-owned businesses in the beverage sector.

This news comes as Uncle Nearest Premium Whiskey continues to navigate a challenging period, remaining in receivership amid ongoing insolvency and legal battles, as we've previously reported. The company was declared insolvent as of April 2026, following the removal of its founders from controlling interest in August 2025 due to a substantial lender lawsuit exceeding $100 million. An April 10, 2026, receiver report had even warned that operations might cease within 30 days without critical lender support, and approximately 38% of its staff were cut.

Despite these well-documented difficulties, the emergence of a potential buyer with aligned cultural values offers a new trajectory for the brand. The undisclosed investment firm has expressed its intention to maintain the existing Uncle Nearest workforce and, crucially, to “honor the cultural significance” of the brand, according to reports. This commitment could safeguard the legacy of Nearest Green, the formerly enslaved Black man credited with teaching Jack Daniel the art of distilling, whose story the brand was founded to celebrate.

The assets included in the non-binding agreement encompass the Uncle Nearest brand itself and the Nearest Green Distillery. Notably, the deal excludes assets belonging to Grant Sidney, an associated entity also managed by founder Fawn Weaver, as well as properties in Massachusetts and Cognac. The receiver anticipates the purchase to be finalized within 45 days, though the buyer wishes to remain confidential until that point.

The journey of Uncle Nearest Premium Whiskey has been one of both meteoric rise and considerable adversity. Founded in 2017 by Fawn Weaver, the brand quickly garnered acclaim, becoming the fastest-growing whiskey brand in the United States by 2021 and recognized as the most successful Black-owned distillery globally as of 2023. However, the past year has seen the company grappling with a default on over $100 million in loans, leading to the court-ordered receivership in August 2025.

During this period, U.S. District Judge Charles E. Atchley Jr. rejected an appeal by co-founder Fawn Weaver to end the receivership, with the court estimating that the business was losing an average of $134,999 per week under Weaver's control prior to the receivership. The judge also found Uncle Nearest to be insolvent, with debts exceeding $208 million, and questioned the credibility of Fawn Weaver's testimony regarding the company’s valuation.

The potential acquisition by a Black-owned investment firm could represent a crucial turning point, not only for Uncle Nearest but also for the broader landscape of diversity and equity within the spirits industry. Initiatives like Pronghorn are actively working to make the spirits industry more accessible to Black entrepreneurs through investments and job creation, highlighting the ongoing need for supportive pathways for Black-owned brands.
